Reporting to the CEO, the Corporate Attorney will serve as in-house counsel providing a broad range of business advice and legal counsel. Areas of law includes contracts, immigration, employment compliance, corporate governance, and international commercial law. The Corporate Attorney will ensure corporate policies and procedures within areas of responsibility are consistent with legal and regulatory requirements. This role will also manage the relationship with our outside counsel. The role is intended for an individual who is seeking a challenging and growth opportunity in a mid-sized global organization.  We welcome applicants who would be interested to work a flexible schedule 32-40 hours/week.
 

Duties & Responsibilities

Contracts

  • Conduct legal analysis and drafting of all internal contracts and external client contracts and contract negotiations.
  • Manage in-house contracts specialist to handle organization and tracking of all contracts across all 10 global offices.
  • Coordinate with local counsel in global offices for international matters.
  • Perform legal research as needed.

Business & Employment Compliance

  • Ensure compliance for business and employment policies and procedures.
  • Work in conjunction with HR to investigate and respond to claims as needed.
  • Aid in legal analysis for any escalated employee relations issues.
  • Manage any employment-related litigation. 
  • Provide counsel on business compliance areas such as data security, social media etc.
  • Provide pragmatic and solution-oriented legal advice and guidance. 

Immigration

  • Manage in-house Immigration Specialist to compose and file petitions, RFEs, and visa documentation.
  • Oversee all immigration matters, including H1Bs, and all other work visas, including employment-based Green Card petitions.

Corporate Governance

  • Maintain all corporate filings for all national and international entities.
  • Conduct all Board of Director meetings and Shareholder Meetings in every global office.
  • Complete and monitor international authentications for legal documents needed for global entities.
  • Assess risk in all corporate matters globally.
 

Qualifications:

Education
  • Possess law degree, licensed to practice in Minnesota and member of Minnesota Bar Association.

Experience

  • 3 – 6 years of legal experience in a law firm or corporation with emphasis on contracts and employment-based immigration law is desired.
  • Experience with an IT services company and/or a multi-state employer is a plus.
  • Exposure to social media/privacy and/or consumer laws impacting retail industry is a plus.
  • Exposure to corporate governance and compliance is ideal but not required.

  • Excellent ability to grasp legal and business issues quickly, to balance risks, to exercise sound judgment, and to provide practical and constructive legal advice in a time-sensitive, dynamic and fast-paced environment.

  • Ability to provide relevant advice and support to business issues and requirements, to align legal responsibilities with organizational goals.
  • Strong ethical orientation, ability to keep confidences, follows through on commitments and the ability to encourage similar traits throughout the organization.
  • Strong interpersonal skills and ability to work with a variety of management styles.
  • Highly motivated, independent self-starter and proven ability to multi-task.
  • Proficient at cost effectively managing outside counsel.
